Premium Finance provides professional accounting, bookkeeping, and financial management services, including but not limited to:

• Monthly bookkeeping and financial statement preparation
• Bank reconciliation and expense tracking
• Tax preparation and filing services
• CFO advisory and financial planning
• Forensic book clean-up for businesses with past-due accounting
• Dedicated accountant support and financial consultations

3. User Accounts

To access our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Payment Terms

Subscription Services

Our subscription plans are billed monthly in advance. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

One-Time Services

One-time services (such as forensic book clean-up) are billed according to the agreed scope and pricing. Payment is due upon invoice unless otherwise specified.

Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months or unused services.

5. Client Responsibilities

As a client, you agree to:

• Provide timely access to financial records and information
• Respond to requests for documentation within reasonable timeframes
• Ensure the accuracy and completeness of information provided
• Maintain appropriate backups of your financial data
• Comply with all applicable laws and regulations

6. Service Limitations

Our services do not include:

• Legal advice or representation
• Investment advice or portfolio management
• Audit services requiring CPA attestation
• Services outside the agreed scope without additional agreement

We are not responsible for penalties, interest, or other consequences resulting from inaccurate information provided by you or decisions made based on our services.

7. Intellectual Property

All content, features, and functionality of our platform are owned by Premium Finance and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our proprietary materials
• Reverse engineer or attempt to extract source code
• Use our trademarks without written permission
• Create derivative works based on our platform

8. Confidentiality

We maintain strict confidentiality of your financial information and will not disclose it to third parties except as necessary to provide our services, comply with legal requirements, or with your explicit consent. This obligation continues after termination of services.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided “as is” without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

10. Indemnification

You agree to indemnify and hold harmless Premium Finance, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be:

• First attempted to be resolved through good-faith negotiation
• Subject to binding arbitration if negotiation fails
• Governed by the laws of the State of California
• Brought within one year of the claim arising

12. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of our services after changes become effective constitutes acceptance of the new terms.

13. Termination

Either party may terminate services with 30 days written notice. We may immediately terminate services for violation of these terms, non-payment, or fraudulent activity. Upon termination, you will receive access to your data for 90 days, after which it may be deleted.
